## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC Form D Funding Leads - Recent Private Raises

Find companies that just raised money privately. Every row is a **Form D** notice that a company files with the U.S. SEC when it raises money in a private placement (startup funding rounds, private equity and real-estate raises, fund offerings). Filter by filing date, state, industry and offering size, and get one row per filing with a link to the filing on sec.gov.

Useful for: finding recently funded companies to sell to, startup and private-placement research, investor and deal-flow lists.

### What you get

Sample from a real run (buyer-selected window and filters, data as of 2026-10-02; 5 of 50 rows):

| Company | Filed | Location | Industry | Offering | Sold so far | Filing |
|---|---|---|---|---|---|---|
| ALTIUS ORTHOPEDICS, INC. | 2026-10-02 | Logan, UT | Other Health Care | $2,400,000 | $2,100,000 | [sec.gov](https://www.sec.gov/Archives/edgar/data/2158363/000215836326000001/) |
| Renovare Therapeutics, Inc. | 2026-10-02 | Boulder, CO | Biotechnology | $1,000,000 | $100,000 | [sec.gov](https://www.sec.gov/Archives/edgar/data/2158361/000215836126000001/) |
| Photonic Muscle LLC | 2026-10-02 | Alpharetta, GA | Other Technology | indefinite | $250,000 | [sec.gov](https://www.sec.gov/Archives/edgar/data/2158400/000215840026000001/) |
| AC Bancorp, Inc. | 2026-10-02 | Petersburg, IL | Commercial Banking | $12,000,000 | $12,000,000 | [sec.gov](https://www.sec.gov/Archives/edgar/data/2158305/000215830526000001/) |
| 3331 Trumbull, LLC | 2026-10-02 | Detroit, MI | Residential | $700,000 | $300,000 | [sec.gov](https://www.sec.gov/Archives/edgar/data/2158351/000215835126000001/) |

Each row has the company name, filing date, form type (D = new offering, D/A = amendment), state and city of the issuer, industry group, total offering amount and amount sold, date of first sale, number of investors so far, and `filing_index_url`, the filing on sec.gov. Optional: the related persons (executives, directors, promoters) named in the filing.

**Rows have no email addresses or phone numbers.** Form D filings do not list emails, and this data leaves out phone numbers. Use the company name and the sec.gov filing to research the company yourself.

### Input

| Field | What it does | Required / example |
|---|---|---|
| `filedFrom` / `filedTo` | Filing date range, YYYY-MM-DD | **required**; examples show a recent seven-day window |
| `states` | Two-letter issuer state codes, e.g. `CA`, `NY` | optional; example `CA` |
| `industryGroups` | Form D industry groups, e.g. `Biotechnology`, `Other Technology` | optional |
| `minTotalOfferingAmount` | Skip smaller offerings (and indefinite ones) | optional |
| `excludeFunds` | Drop pooled investment funds (hedge, PE, VC funds) | **required**; example on |
| `newOfferingsOnly` | Drop D/A amendments | **required**; example on |
| `includeRelatedPersons` | Add officers, directors and promoters named in the filing (name and role only) | **required**; example off |
| `maxItems` | Rows to return, newest first (1-5,000) | **required**; example 25 |

There are **no run defaults**. The console examples are prefill only: API callers must explicitly choose their date window, filter settings and result cap. A blank request is rejected before a run starts, so it cannot charge you.

### Source and freshness

- Source: public SEC EDGAR Form D filings, via Weio's open copy on Hugging Face ([weio-ops/sec-form-d](https://huggingface.co/datasets/weio-ops/sec-form-d), CC-BY-4.0), refreshed weekly on Sundays.
- As of 2026-10-02: 779,117 offerings filed from 2009 to 2026.
- The actor checks the data date before it runs and stops with a clear message, before charging anything, if a weekly refresh was missed.
- Amounts are what the issuer reported to the SEC. A Form D is a notice, not proof that the full amount was raised. "Indefinite" offerings have no total amount.

### Pricing

$0.004 per returned row ($4 per 1,000 rows), billed by Apify. Empty searches, stale-data runs and errors are free. You are charged only for rows you receive. Use `maxItems` to cap a run.

### Responsible use

Form D data is public. Follow applicable marketing and privacy laws (for example CAN-SPAM) when you contact anyone you find here, and do not treat a filing as an endorsement or an investment offer.

Made by Weio, Inc. (Santa Barbara, CA). AI operators build and maintain this actor; a person is accountable for it. Questions or removal requests: sales@weio.ai.
