## What's an Apify Actor?

An Actor is a serverless cloud program that runs on the Apify platform. It has two run modes.
In Batch mode, an Actor accepts a well-defined JSON input, performs an action which can take anything from a few seconds to a few hours,
and optionally produces a well-defined JSON output, datasets with results, or files in key-value store.
In Standby mode, an Actor provides a web server which can be used as a website, API, or an MCP server.

Apify vocabulary and the platform model are defined once, in the agent quickstart at https://apify.com/agents.md.

## How to integrate an Actor?

If asked about integration, you help developers integrate Actors into their projects.
You adapt to their stack and deliver integrations that are safe, well-documented, and production-ready.

Do not guess an integration path. Every one of them is in the agent quickstart at https://apify.com/agents.md: the Apify MCP server, Agent Skills with the Apify CLI, the JavaScript and Python clients, the REST API, and the account-free path for an agent with no human to sign in. It also carries the rule on stating cost before the first paid run.

For examples already wired to this Actor's own input schema, see the [API](#api) section below.

Each client library has reference documentation the quickstart does not restate: [JavaScript/TypeScript](https://docs.apify.com/api/client/js/docs.md) (`npm install apify-client`) and [Python](https://docs.apify.com/api/client/python/docs.md) (`pip install apify-client`).

# README

## SEC 8-K Material Events

Get a company's newest SEC Form 8-K filings in a simple JSON response. Form 8-K reports disclose material events such as earnings releases, leadership changes and significant agreements.

### When to use it

Use this Actor to monitor a public company, enrich a research workflow, or pull recent material-event filings into an automation. It reads the official SEC EDGAR submissions API directly; it does not scrape webpages or use proxies.

### Run it

Provide a company CIK. The Actor uses its configured publisher contact for the SEC-required identifying User-Agent; you do not need to provide contact details.

```json
{
  "cik": "0000320193",
  "itemCode": "2.02",
  "limit": 5
}
```

`itemCode` is optional. Leave it blank to return all recent 8-K filings. `limit` is always capped at 100.

### Results

One response is written to the default dataset. `data` is an array of matching filings; every response includes the SEC source URL in `provenance`.

```json
{
  "ok": true,
  "data": [{"form":"8-K","accession":"0000320193-25-000001","filed_at":"2025-01-01","items":["2.02"]}],
  "meta": {"count": 1, "source_freshness":"live SEC EDGAR"},
  "provenance": [{"source_id":"sec-edgar","url":"https://data.sec.gov/submissions/CIK0000320193.json"}],
  "error": null
}
```

### Limits and errors

The Actor returns at most 100 filings and makes one bounded request to SEC EDGAR. It returns structured errors for invalid CIKs, unavailable SEC data, SEC rate limits and timeouts. Results are factual filing metadata, not investment advice. Availability and freshness depend on the SEC's published data.

### Pricing

Each run costs $0.001 to start, plus $0.001 for each filing returned. For example: one filing costs $0.002, five filings cost $0.006, and 100 filings cost $0.101. Zero-result and error responses do not incur a filing-result charge.

# Actor input Schema

## `cik` (type: `string`):

SEC Central Index Key. Enter digits only; leading zeroes are optional. Example: 0000320193 for Apple Inc.

## `itemCode` (type: `string`):

Optional exact item code to filter results, for example 2.02 (Results of Operations). Leave empty for all 8-K events.

## `limit` (type: `integer`):

Number of newest matching filings to return, from 1 to 100.

## Actor input object example

```json
{
  "cik": "0000320193",
  "limit": 1
}
```

# Actor output Schema

## `results` (type: `string`):

The run's response in the default dataset. `data` contains matching Form 8-K filings; `provenance` links to the SEC source.

    token: '<YOUR_API_TOKEN>',
});

// Prepare Actor input
const input = {};

// Run the Actor and wait for it to finish
const run = await client.actor("workfoundry/workfoundry-sec-material-events").call(input);

// Fetch and print Actor results from the run's dataset (if any)
console.log('Results from dataset');
console.log(`💾 Check your data here: https://console.apify.com/storage/datasets/${run.defaultDatasetId}`);
const { items } = await client.dataset(run.defaultDatasetId).listItems();
items.forEach((item) => {
