## Funding Round Tracker — Recent SEC Form D Private Fundraises

Point this Actor at a list of company names or sector keywords and get back every SEC Form D filing that matched — the official notice a company must file within 15 days of the first sale in a private, Reg-D-exempt securities offering. In plain terms: a Form D is the closest thing to a public "we just raised private capital" record, and this Actor turns EDGAR's own full-text search into a keyword watchlist.

### What you get

- **A funding signal, not a rumor.** Every row is a real SEC Form D filing — not a scraped press release or a TechCrunch headline that may or may not have happened.
- Company name, filing date, form type, accession number and a ready-to-open `url` straight to the filing's index page on sec.gov.
- `matched` reports EDGAR's own total hit count for the query, even when `limit` caps how many rows you actually get back.
- Watch a specific company or a whole sector/theme keyword (e.g. `"artificial intelligence"`, `"biotech"`) — several queries per run.
- Lookback window up to 2 years (`sinceDays`, max 730), so you can pull history, not just today's filings.

**Does it need an API key or login?** No — EDGAR's full-text search endpoint is public and keyless.

**How fresh is the data?** As fresh as EDGAR itself — Form D filings usually appear within minutes of acceptance, and are due within 15 days of the first sale.

**How far back can I look?** Full-text search covers EDGAR filings from 2001 onward; this Actor caps `sinceDays` at 730 (2 years) to keep results relevant to "recent" fundraises.

**What does `matched` mean if it's higher than the rows I got back?** `matched` is EDGAR's own count of everything in the window; `limit` caps how many of those come back per query. A `10000+`-style count means the keyword is broad enough that EDGAR stopped counting exactly — narrow the query for a precise figure.

**Can I filter by a specific company instead of a sector?** Yes — put the exact company name (or a distinctive part of it) in `queries`; it's matched as an exact phrase.
