SEC 8-K, Form 4 Insider & 13D/13G Monitor (EDGAR Official)
Daily feed of SEC 8-K events (decoded item codes, high-impact tags), Form 4 insider trades (open-market buys/sells in $, 10b5-1 flag, cluster buying) and 13D/13G stakes (% owned, activist flag). Ticker, SIC, exchange and filing-velocity enrichment. Only-new mode.
One Actor, one clean table: every 8-K material event, Form 4 insider trade and Schedule 13D/13G ownership stake filed with the SEC, read straight from official EDGAR files, decoded and enriched.
Problems this fixes
Existing EDGAR scrapers have a few common problems:
| Common problem | What this Actor does |
|---|---|
| 8-Ks come back as a link with no idea what happened | Every 8-K has decoded item codes (e.g. 2.02 Results of Operations, 5.02 Officer/Director change), event tags (earnings, M&A, exec-change, bankruptcy, cybersecurity…) and a highImpact flag |
| Form 4 rows mix option grants, tax withholding and real buying | Separates open-market purchases (P) and sales (S) with shares, USD value, average price, net $, shares owned after, 10b5-1 plan flag and a plain-English insiderSignal (e.g. Open-market BUY $152,300 by Director; empty when the filing is only grants/exercises) |
| No cluster detection | clusterBuyersInRun: how many distinct insiders bought the same stock in this run |
| 13D/13G parsers miss the % or the holder | Reads the XML cover page: holder, % of class, shares, CUSIP, event date, 10% crossing, activist (13D) vs passive (13G), Rule 13d-1 basis, source of funds, purpose excerpt |
| One Actor per form type, different schemas | 8-K + Form 4 + 13D + 13G in one run, one consistent table, and 4 ready-made views |
| Breaks or gets blocked | Uses EDGAR's documented daily index + full-text files with a declared User-Agent and a rate limit under SEC's 10 req/s fair-access rule. No proxies, no HTML scraping of search pages |
| Re-delivers the same filings every day | Only-new (delta) mode remembers accession numbers between scheduled runs |
| Duplicate rows | Each filing appears once, even though EDGAR indexes it under both insider and issuer |
Enrichment (included in the price)
From SEC's submissions API, for the issuer: ticker(s), exchange, SIC code + industry, state of incorporation, filer category, and filing velocity — 8-Ks in the last 90 days, Form 4s in the last 30 days, 13D/13G in the last 90 days. A burst of filings often means something is happening.
Filters
- Tickers or CIKs watchlist (tickers auto-resolved to CIKs)
- Date range (filed date, up to 31 days per run) — default = latest EDGAR business day
- 8-K item codes (e.g.
1.01,2.02,5.02), high-impact only - Form 4: open-market only, minimum $ value, insider roles (director, CFO, 10% owner…)
- 13D/G: minimum % of class
- Include/exclude amendments

- Event-driven alerts: bankruptcies, auditor changes, restatements, exec departures, M&A
- Activist tracking: new 13Ds and stakes crossing 10%
- Feed a Google Sheet, Slack or database on a daily schedule with delta mode
Pricing
Pay per result: you pay only for filings delivered. A full EDGAR day across all four types is roughly 900 filings; most watchlist runs are a handful.
