Get the companies that just raised money in the US, straight from the SEC. Every private funding round sold under Regulation D needs a Form D notice filed with the SEC within 15 days of the first sale, and this actor reads those notices from SEC EDGAR. You get one row per round: the company, how much it raised and is raising, what it sold (equity, a SAFE, a convertible note, debt), how many investors are in, its executives and directors, its address and phone, and its domain when the company's own homepage proves it. Investment funds, SPVs, and real estate projects are dropped by default, so the feed is operating companies.
Use it for outbound to newly funded companies: agencies, recruiters, fractional executives, and B2B sellers who reach a company in the weeks after it raises.
Features
- Primary source. Form D notices from SEC EDGAR, read directly. A Form D is a legal filing; the amounts are what the company told the SEC, not a press estimate or a resold database page.
- New rounds within days. Filed within 15 days of the first sale, and usually before any press release. About 1,250 Form D notices are filed in a normal week.
- Operating companies only, by default. Filings that claim an investment company exemption, sell pooled fund interests, or name an SPV, fund, or series are dropped, and so are the real estate project industry groups. Turn either off to see everything.
- Company domain. Built from the company name and kept only when the homepage names the company; confidence rises when the page also carries the filing's address, ZIP code, or phone. No search engine, no guessing.
- People. Executive officers, directors, and promoters named in the filing, with their roles.
- Filters. Filing window, state, Form D industry group, name keywords, and a minimum round size.
- Scheduling. Only new results skips rounds an earlier run with the same state key returned, and skipped rounds are free. Run it daily for a funding feed.
- Optional press confirmation. Matches funding headlines from the Mamba Labs News and Media Mention Monitor to add the round label (Seed, Series A) and the article. Off by default.
How it works
- Reads the SEC EDGAR full text search index for Form D notices filed in your window, newest first. Amendments (Form D/A) are skipped unless you ask for them.
- Drops what the index already rules out (state, fund exemption, SPV names), then reads each remaining filing's Form D document.
- Applies the industry group and minimum amount filters to the document.
- Finds the company domain: candidate domains from the company name, a DNS check, and a read of each live homepage.
- Returns one row per round and a run summary in the key-value store record
RUN_SUMMARY.
Every SEC request carries a declared User-Agent with a contact address, as SEC's fair access policy asks, and the actor stays under 8 requests a second.
Input
| Field | Type | Default | What it does |
|---|---|---|---|
filed_within_days | text (number) | 7 | Filing window ending today, 1 to 90 days |
date_from, date_to | string | A custom window as YYYY-MM-DD, at most 92 days | |
states | array | Two character codes of the company's principal place of business, such as CA, NY | |
industry_groups | array | Keep only these Form D industry groups, such as Other Technology, Biotechnology, Business Services | |
exclude_industry_groups | array | funds and real estate | Default drops Pooled Investment Fund, Commercial, Residential, REITS and Finance, Other Real Estate. Send [] to keep them |
exclude_spvs | true or false | true | Drop SPVs and funds |
min_amount_usd | text (number) | 100000 | Keep a round when the larger of amount offered and amount sold is at least this. 0 keeps every size |
name_keywords | array | Words in the company name | |
include_amendments | true or false | false | Also return Form D/A amendments |
resolve_domains | true or false | true | Find the company domain. No extra charge |
include_press | true or false | false | Add a matching funding headline for the 50 largest rounds (see Pricing) |
max_rounds | text (number) | 100 | Round rows per run, newest filing first, up to 2,000 |
only_new | true or false | false | Skip rounds an earlier run with the same state_key returned |
state_key | string | Names the seen list; one key per schedule | |
max_charge_usd | string | Stop before a row would pass this amount |
Numbers and yes or no fields are text, so a Clay column can fill them as it sends them: "true", "30". A number or a real true sent through the API works too. List fields also accept a comma separated list or a JSON array as text.
Output

amount_sold_usd, amount_offered_usd, amount_remaining_usd | 70089315, 70089315, 0 |

related_persons, related_person_count | Jane Smith (Executive Officer, Director) | ..., 3 |
exemptions | ["06b"] (Rule 506(b)) |
round_label, press_url, press_title, press_published_at | with include_press on and a matching headline |
cik, accession, form_type, filing_url | the SEC identifiers and a link to the filing |
source, is_new | form_d or form_d_and_press; true with Only new results on |
row_status, error_reason, billable_events_json | ok, null, {"round-row":1} |
When nothing matches, the run returns one free row with row_type no_results and the reason, so a scheduled run always has a row.
Pricing
Pay per event. You pay only these events; the Apify platform and proxy costs of your run are paid by Mamba Labs. SEC EDGAR is free and needs no key.
| Event | Free plan | Bronze | Silver | Gold |
|---|---|---|---|---|
Funding round row (round-row) | $0.01 | $0.0095 | $0.009 | $0.0085 |
Actor start (apify-actor-start), once per run at the default 512 MB (Apify counts one per GB of run memory, minimum one) | $0.0015 | $0.0015 | $0.0015 | $0.0015 |
Free rows: the no results row, the refused input row, and rounds skipped by Only new results. The actor start event is billed by Apify on every run, a refused one included. A run of 100 rounds costs about 1.00 USD on the free plan prices. On the Apify free plan the actor stops at 1.50 USD of evaluation a month (about 150 round rows); any paid Apify plan removes that cap.
Press confirmation is billed by a second actor. With include_press on, this actor starts one run of the Mamba Labs News and Media Mention Monitor on your account. That actor charges its own events: its actor start and one event per article it returns, at most 100 articles a run (see its Store page for the price). This actor charges nothing extra for the join.
Usage examples
Apify Console or API
{ "filed_within_days": "7", "industry_groups": ["Other Technology", "Computers", "Biotechnology"], "min_amount_usd": "500000" }
{ "date_from": "2026-10-01", "date_to": "2026-10-27", "states": ["NY", "MA"], "min_amount_usd": "2000000", "max_rounds": "500" }
{ "filed_within_days": "3", "exclude_industry_groups": [], "exclude_spvs": "false", "min_amount_usd": "0" }
Clay
Add an Apify column or an HTTP API column with your window and filters. Rows arrive with company_domain filled when it was proved; send the rest through your usual domain waterfall on company_name, city, and state, then find contacts on the domain.
Daily funding feed
Save the input as an Apify task with only_new set to true and a state_key, set filed_within_days to 3, and schedule it daily. Each run returns only the rounds filed since the last one.
MCP
The MCP server @mambalabsdev/mcp-recent-funding-rounds-feed exposes this actor as a tool for Claude and other MCP clients.
Error handling
| Situation | What you get |
|---|---|
| Bad input (a date that is not YYYY-MM-DD, an unknown industry group, a window over 92 days) | One free row with row_type input_invalid, row_status error, and error_reason starting input_invalid:; the run ends successfully. No round is charged; Apify charges only the actor start event, which it bills when any run starts |
| SEC EDGAR does not answer | One free row with row_status blocked and the HTTP status |
| Nothing matches | One free row with row_status no_results and how many filings were read |
| Only new results finds nothing new | One free row with row_status no_change |
| A domain cannot be proved | company_domain is empty and domain_method reads none; the row is still returned and charged as a round |
| The press lookup fails | The press columns stay empty and error_reason starts press_unavailable: |
| Max charge reached | The run stops before the next billable row and says why in the status message |
Limitations
- US only. Form D covers private offerings under Regulation D. A round raised outside Regulation D, or by a company outside the US with no US offering, is not here.
- A Form D names no round (Seed, Series A) and no investors, only the number of investors. The round label comes only from a matching press headline with
include_presson, and is labeled as press, never as a filing fact. - Timing follows the filing: within 15 days of the first sale, so a round can show up before or after its announcement. Some companies file late or not at all.
- Domains: in a 50 company test on 2026-10-28, a domain was proved for 15 of 50 filers in all industries, and for more of the technology and health care companies. New companies often have no website yet. Treat an empty domain as unknown, not as no website.
- The
issuer_phoneand addresses are business contact details the company published in a public SEC filing. You are responsible for how you use them, including any marketing and privacy rules where you sell. - The SEC full text search returns at most 10,000 filings per window; a 92 day window can pass that, so split long windows.
