Every insider purchase, sale, grant, option exercise and gift that company directors, officers and 10% owners report to the SEC on Forms 4 and 5. Each row is one transaction, parsed from the XML the insider filed on EDGAR. Every value traces back to the filing's accession number.

What you get

One dataset item per reported transaction, newest first:

  • Who: the reporting owners with CIK, name and role (director, officer with title, 10% owner, other). Joint filers who report the same transaction together share one row, not one row each.
  • What: security, transaction date, transaction code with its official SEC description (P open-market purchase, S sale, A award, M exercise, F tax withholding, G gift, ...), shares, price per share, acquired or disposed, and holdings after the transaction.
  • Value: value_usd = shares × price, only when both are reported. Gifts and many awards have no price, so their value stays empty. It is never guessed.
  • Derivatives: exercise price, exercise and expiration dates, underlying security and shares. Turn off includeDerivative for stock-only rows.
  • Context: the Rule 10b5-1 plan checkbox (filings from April 2023; it's one checkbox per filing, so it appears on every row of that filing, and footnotes usually say which trades the plan covered), late-filing flag, direct vs indirect ownership (for example "By Trust"), and every footnote resolved to its text on the field it annotates, such as weighted-average price ranges.
  • Filing: form (4, 4/A, 5, 5/A), filing date, accession. Amendments are flagged with the original submission date.

A per-company summary (filings found and parsed, plus any warnings) is saved to the run's key-value store under SUMMARY.

  • identifiers: issuer tickers or SEC CIK numbers, up to 100 per run.
  • since / until: filing-date range (YYYY-MM-DD). The default is the last 365 days, and the maximum is 5 years.

How it works

The Actor lists the company's Forms 4, 4/A, 5 and 5/A from EDGAR's submissions index and reads each filing's raw XML. Requests are rate-limited under the SEC's fair-access policy, so a company with hundreds of filings in range takes a minute or two. Parsing is regression-tested against real filings from Apple, Tesla, Reddit, JPMorgan Chase, Berkshire Hathaway and DaVita, including amendments and joint filings, cross-checked against the SEC's own quarterly Insider Transactions Data Sets.

Pricing

Pay per event:

  • $0.00005 per run: Apify's standard run-start event, which waives the first 5 seconds of compute
  • $0.003 per transaction returned

A year of Apple insider filings (about 130 transactions) costs about $0.39. Lookups that fail (unknown ticker, invalid range) are returned as error items and are never charged. Set a maximum charge on the run to cap spend. The Actor stops cleanly when the cap is reached.

Limits

  • Amendments are reported as filed and flagged, not merged into the original filing. EDGAR doesn't link an amendment to the filing it amends.
  • Holdings-only rows (positions reported without a transaction) are not included.
  • An option exercise and the sale of the resulting shares appear as separate rows. The Actor does not guess which rows belong together.
  • Filings from before mid-2003 are not in XML and are skipped, with a warning in SUMMARY.
