Find newly funded companies, private placements, venture funds, real-estate offerings, and other exempt securities offerings from official SEC EDGAR Form D filings.

The actor searches current SEC filing metadata, fetches each matched filing's official XML, and turns it into stable, source-linked evidence for startup sales, investor research, private-market intelligence, financial-services prospecting, and compliance workflows. No API key, login, browser, or proxy is required.

Search and filters

  • SEC full-text query across Form D filing content
  • exact issuer CIK or filing accession number

All filters are combined. Array filters use OR within the field and AND across fields.

Output

Each found filing exposes 57 stable top-level keys, including:

  • filing date, form type, accession, file number, film number, and CIK
  • issuer name, entity type, jurisdiction, year, public business address, phone, and previous names
  • related-person names and disclosed roles, without republishing their street addresses
  • industry, investment-fund type, revenue/NAV range, and Investment Company Act answer
  • federal exemptions, amendment status, previous accession, and first-sale date
  • offered security types and other-security description such as SAFE
  • issuer-reported total offering amount, amount sold, remaining amount, and indefinite-offering flag
  • minimum investment, investor count, and non-accredited-investor answer
  • sales commissions, finder fees, disclosed compensation recipients, and proceeds-use amount
  • signer name/title/date
  • official filing document and index URLs
  • total search hits, filings scanned, scan-limit status, and coverage/interpretation caveats

No-match runs return an explicit NO_MATCHES evidence item. Temporary SEC source failures return SOURCE_UNAVAILABLE instead of an ambiguous empty dataset.

Bounded scan behavior

SEC search metadata does not contain every Form D amount, security, person, and offering field. The actor must fetch filing documents to evaluate those filters, so maxFilingsScanned bounds cost and runtime.

  • latest searches can stop once maxResults matches are found.
  • Amount, industry, security, investor, and non-latest sorts may scan many filings.
  • Every row reports searchTotalFilings, filingsScanned, and scanLimitApplied.
  • If scanLimitApplied is true, the results cover the newest disclosed scan window—not every filing in the full date range.

Increase maxFilingsScanned when broader filtered coverage matters.

Important interpretation limits

Form D is a notice filed by the issuer under an exemption from Securities Act registration. It is not SEC approval, SEC verification, a recommendation, a completed financing announcement, or proof that the amount offered or reported sold was ultimately raised or retained. Amendments can revise earlier answers. Blank values can mean not reported or not applicable.

Form D reports an investor count and whether non-accredited investors participated, but does not identify the investors. Related persons and sales-compensation recipients are not necessarily investors.

Use this product for discovery and screening. Confirm material investment, sales, credit, compliance, or diligence decisions against the linked official filing and other current sources.
