What does Newly Funded Companies — Startup Funding Leads (SEC Form D) do?

A fresh list of companies and funds that just raised money — every business day. When a U.S. company or fund raises capital privately it must tell the SEC on a Form D; this Actor turns those notices into ready-to-use funding leads.

Get every Form D the U.S. Securities and Exchange Commission published in a date window — the notice a company or fund files when it raises money privately — as clean, structured rows: issuer, location, industry, amount offered, amount sold, minimum investment, number of investors, first-sale date and links to the filing.

Roughly 150–250 new Form D filings and 100+ amendments appear every business day. This Actor turns them into a feed you can filter, schedule and pipe into a CRM, a sheet or an alert.

When to use something else instead: for full-text search of EDGAR, financial statements (10-K/10-Q), insider trades (Form 4) or fund holdings (13F), use an Actor built for those forms instead — this one covers Form D and D/A only.

How to scrape SEC Form D filings

  1. Leave the defaults and press Start: the last 3 days, up to 50 filings, with offering details.
  2. For a daily feed: set Days back = 3, turn on Only new filings since the last run, and add a daily schedule. Each run returns only filings you have not received yet (weekends and SEC holidays simply return nothing).
  3. For a backfill: set Date from / Date to (up to 92 days per run) and raise Max filings.
  4. Want it cheaper? Turn off Include offering details to get only the index-level fields (form type, issuer, CIK, date, links).

So $9 per 1,000 filings with full details ($0.009 each), or $3 per 1,000 index-only. A normal business day (~280 filings) costs about $2.50 with details; following every new filing for a month is roughly $50. Your run's maximum charge is always respected: a limit that pays for 20 complete filings delivers exactly 20 complete filings — never more rows with the details missing. If a filing's detail document cannot be read, you still get the index-level row with a _detailError note and are not charged the detail event. The Actor stops cleanly when it reaches your maximum charge.

Output

One dataset row per filing, with the fields listed above; download as JSON, CSV, Excel or via the API. The Funding rounds table view shows date, form, issuer, industry, location, offering, amount sold, minimum investment, investors and the filing link. A STATS record in the key-value store reports counts, the date window used and any errors.

Where the data comes from — and why it is clean

  • Source: the U.S. SEC's EDGAR system, through its documented public access routes only: the daily form index (/Archives/edgar/daily-index/) and the filing documents (/Archives/edgar/data/), both permitted by sec.gov's robots.txt. The Actor never uses undocumented endpoints.
  • Permission: the SEC states that "Information presented on sec.gov is considered public information and may be copied or further distributed by users of the web site without the SEC's permission." Source: sec.gov — Privacy and Security Policy / dissemination. Data source: U.S. Securities and Exchange Commission (EDGAR).
  • Fair access: the SEC asks automated clients to identify themselves and to stay under 10 requests per second. This Actor sends a declared bot identity with a contact address on every request, sends one request at a time, at most one every 1.35 seconds (measured on a full day: never more than 1 request in any second) — under a tenth of the published limit, enforces robots.txt on every URL, and reads the SEC's directory listing first so it only requests index files that exist.
  • Privacy: Form D also lists named individuals (executives, directors, promoters, signers) and the issuer's phone and street address. This Actor does not extract any of them. Output is company-level only: the issuer, its city/state/ZIP, and the offering.

Limits and honest notes

  • Form D is self-reported by the issuer and is not reviewed by the SEC for accuracy. "Amount sold" is as of the filing date.
  • Many funds file an "Indefinite" offering amount — totalOfferingAmountUsd is then null (never a fake 0); the original text is in totalOfferingAmount.
  • federalExemption is the first exemption listed on the form; federalExemptions lists all of them (about two thirds of filings claim more than one).
  • Reliability: a filing whose document fails temporarily (server error, timeout) is retried up to twice, at the same polite pace. If it still fails you get the index-level row with a _detailError note and are not charged for the details; with Only new filings on, the next run tries that filing again, so nothing is silently lost. If the SEC signals throttling three times in a row, the run stops asking immediately rather than hammering.
  • Big pulls: at this polite pace one run delivers roughly 2,600 filings per hour with details. For a multi-week backfill either raise the run timeout in the run options (the default is 1 hour) or split it into several date windows; index-only runs (details off) are near-instant at any size.
  • Speed: by design this Actor is slow and polite — about 45 filings with details per minute, so a full business day (~280 filings) takes 6–7 minutes. If the SEC answers "rate threshold exceeded", the run stops cleanly, delivers what it has, and charges nothing further; try again 15 minutes later.
  • A filing made by several co-issuers appears once (the SEC index lists it once per issuer under the same accession number).
  • A D/A (amendment) is a separate filing with its own accession number; use cik to group an issuer's filings.
  • The SEC publishes the daily index in the evening (US Eastern). Today's filings usually appear the next morning.

FAQ, Disclaimers, and Support

What is the basis for using this data? It is official U.S. government information. The SEC states it "may be copied or further distributed by users of the web site without the SEC's permission"; the Actor reads it only through the routes the SEC documents for automated access, identifies itself, and stays at a small fraction of the published rate limit. This is a description of the source's own terms, not legal advice.

Intended use: market data and research — lead lists of newly funded companies, private-market monitoring, journalism and analysis. It is not a tool for profiling individuals, and it does not output personal data.

Personal data / GDPR: Form D filings contain the names of executives, directors and signers. This Actor deliberately leaves them out, together with issuer phone numbers and street addresses. If you add personal data from other sources to this output, you are responsible for having a lawful basis under GDPR or your local law.
