Find companies that just raised private money, straight from SEC Form D filings. Pick a date range and get one clean row per newly funded company: name, full address, phone, industry, how much they're raising and have already sold, date of first sale, the officers and directors (with titles), and a link to the filing on SEC EDGAR.

Investment funds and real estate SPVs are filtered out by default, so you get real operating companies (startups, biotech, energy, restaurants, manufacturers, service businesses) rather than thousands of fund vehicles.

What is a Form D?

When a U.S. company raises money privately (seed rounds, Series A–C, convertible notes, SAFEs, friends-and-family rounds), it usually files a Form D with the SEC within 15 days of the first sale under Regulation D (Rule 506(b), 506(c), 504). About 600–900 new Form D filings arrive every week. It's one of the earliest public signals that a company has fresh cash and is about to hire, buy software, and spend on services.

Use cases

  • Sales teams (B2B SaaS, payroll/HR, benefits, insurance, banking, accounting, legal, fractional CFOs, agencies): reach companies in the weeks right after they raise, when budgets open up. Filter by state for territory-based reps or by industry for vertical plays.
  • Investors, VC scouts and angels: see who is raising in your sector or region, how much, and who's on the board, before it hits the news. Spot co-investment and follow-on opportunities.
  • Fintech and lenders: build prospect lists for venture debt, treasury/banking products, cap-table and fund-admin tools.
  • Recruiters and staffing firms: newly funded companies hire. Reach the CEO or founders named on the filing.
  • Market researchers and journalists: track private-capital flows by state, industry and round size over time.

How to use it

  1. Set a start date and end date (SEC filing date). Leave both empty to get the last 7 days.
  2. Optional filters: states (e.g. CA, NY, TX, IN), industry groups, minimum amount sold (e.g. 1000000 for $1M+ raises).
  3. Keep Exclude investment funds and Exclude real estate offerings on for operating companies only, or turn them off to get everything.
  4. Set Max results to control cost, then click Start.

Tip: schedule it weekly (Apify Schedules) with the dates left empty to get a fresh list of newly funded companies every Monday.

How much does it cost?

You pay per company returned (pay-per-result), plus a small Apify platform usage charge. Filings that don't match your filters are never charged. A typical week of all operating companies nationwide is roughly 250 rows. Use Max results or your run's maximum cost setting to cap spend.

How it works

The Actor reads SEC EDGAR's official daily form indexes for your date range, opens each Form D filing's XML, and turns it into a structured record. It follows the SEC's fair-access policy (identified User-Agent, well under 10 requests per second), so runs are reliable. Speed is about 400 filings per minute; a full week takes about 2–3 minutes.

FAQ

Is this data legal to use? Yes. Form D filings are public records published by the U.S. Securities and Exchange Commission on EDGAR. This Actor only reads public SEC data; it doesn't log in anywhere or scrape private sites. Names of officers and directors are as filed by the company. Use them for legitimate B2B purposes and follow the laws that apply to you (e.g. CAN-SPAM, TCPA, GDPR).

Are the amounts accurate? They're self-reported by the issuer on the filing. "Total offering amount" can be Indefinite (see totalOfferingIndefinite). totalAmountSold is what had been sold as of the filing date.

Does it include email addresses? Form D doesn't include emails. You get the company's phone, address and the names and titles of executives and directors, which you can enrich with your email-finder of choice.

Why do some filings have a first-sale date before the filing date? Companies have 15 days after the first sale to file, so the first sale is usually a few days to two weeks earlier.

What are "funds" and why are they excluded? Many Form D filings come from hedge funds, private equity and venture funds, and single-property real estate vehicles. They're rarely useful as sales leads, so they're off by default. Turn off Exclude investment funds / Exclude real estate offerings to include them.

Can I get amendments (Form D/A)? Yes, turn on Include amendments. They're off by default so you only see new raises.

How far back can I go? EDGAR's daily indexes go back to 1994. One run covers up to 366 days; split longer histories into several runs.
