A daily feed of private companies raising money in the US, taken straight from SEC Form D filings. When a startup or private company sells securities under Regulation D (most venture rounds and private placements), it has to file a Form D within 15 days of the first sale. This Actor turns those filings into a clean, filterable dataset.

Common uses:

  • Sales prospecting: freshly funded companies have budget to spend.
  • VC and investor deal flow, and competitive intelligence on rival raises.
  • Fintech, banking, legal and accounting services looking for new clients.
  • Journalists and analysts tracking funding trends by industry and region.

What you get for each filing

  • Company: name, CIK, entity type, year and jurisdiction of incorporation, address and business phone.
  • Industry: the Form D industry group, plus investment fund type where one applies.
  • Size: revenue range (or net asset value range for funds).
  • The round:
    • total offering amount, amount sold so far and amount remaining
    • date of first sale and minimum investment
    • number of investors, and whether any are non-accredited
    • sales commissions and finder's fees
  • Exemption: Rule 506(b), 506(c), 504 and so on, plus security types (equity, debt, options...).
  • Optional: executives, directors and promoters named in the filing, and the placement agents.
  • Links: the filing and the company's EDGAR page.

Filters

  • Date range: days back, or from/to dates.
  • Exclude investment funds: on by default, so you get operating companies rather than hedge, PE and VC fund vehicles.
  • Industry, state or country, minimum amount sold, minimum offering size and company-name keywords.
  • New offerings only, or include amendments (D/A).
  • Monitoring mode: returns only filings not seen in earlier runs. Schedule it daily for a funding feed.

Volume and speed

About 150–300 Form D filings are made each business day, roughly 40% of them operating companies once funds are excluded. A 3-day run takes about a minute.

Pricing

$3 per 1,000 filings ($0.003 each). Filtered-out filings aren't charged. No start fee.

Notes

  • Source: SEC EDGAR, public government data. The Actor follows SEC's fair-access rules: an identified User-Agent and under 10 requests per second.
  • Executive names: these appear in public filings. If you use them for outreach, follow anti-spam and privacy laws (CAN-SPAM, GDPR where applicable).
  • What Form D does and doesn't show: "amount sold" is what the company reported at filing time. Form D doesn't show valuations or investor names.
