SEC 8-K Filings by Ticker with Item Codes

Every current report on Form 8-K, and every amendment on Form 8-K/A, for the tickers you give, one row per filing. Each row carries the items the filing declares with their captions from Form 8-K, the filing's dates and EDGAR links and, if you ask, the filing's plain text and its exhibits.

• Items with their captions: the item codes each filing declares, with the caption Form 8-K gives each one, and the earlier item list for filings from before August 23, 2004.
• Filter by item and date: only the items you care about, over the dates you choose.
• The filing's own text: the plain text of its 8-K document, with markup removed.
• Every exhibit: each exhibit's type, file name and description, as the filing declares them, with a link.
• Links to EDGAR, the SEC's filing system, for every filing.

The fields are the filing's own. Where this page says what a field means, it quotes or follows the SEC rule, form instruction or EDGAR specification that defines it.

Quick start

1. Enter one or more tickers under Tickers, for example AAPL.
2. Start the run.
3. Read the rows in the run's dataset as they arrive. Each row looks like the example under Output below.

What Form 8-K reports

A company reports events on Form 8-K under numbered items. "Unless otherwise specified, a report is to be filed or furnished within four business days after occurrence of the event" (Form 8-K General Instruction B.1, which sets other timing for Items 1.05, 5.08, 7.01, and 8.01 when used for Regulation FD). Two items are the company's choice:

• Item 7.01 covers "only information that the registrant elects to disclose through Form 8-K pursuant to Regulation FD".
• Item 8.01: "The registrant may, at its option, disclose under this Item 8.01 any events, with respect to which information is not otherwise called for by this form, that the registrant deems of importance to security holders."

Information under Items 2.02 and 7.01 "shall not be deemed to be 'filed' for purposes of Section 18 of the Exchange Act" unless the company says so (General Instruction B.2).

Of the ticker file, the SEC says: "We periodically update these files to provide functionality for EDGAR searches, but do not guarantee accuracy or scope." A ticker that is not in it is listed in ERRORS.

One row per filing. The example is a real 8-K filed by Ameren, turned into a row by this actor's code from the filing's submission text. The fields the actor takes from the SEC's filing list are filled here with the same values from the filing's header; primaryDocument and primaryDocumentUrl are left out, the exhibits are cut to the first, and the text is shortened:

Rows are written to the run's default dataset as they are produced. The dataset's Filings view shows the ticker, company, form, filing date, period of report, items, their captions and the filing link.

The fields

• ticker, cik, companyName: the ticker you gave, the registrant it was looked up to, and the registrant's current name in the SEC's submissions API.
• form: 8-K, or 8-K/A for an amendment. accessionNumber is EDGAR's filing identifier.
• filingDate: the filing date. A filing submitted after 5:30 p.m. Eastern time is filed the next business day (Regulation S-T Rule 13(a)(2)). The date filters apply to this field.
• reportDate: the period of report in the filing's EDGAR header (<PERIOD>).
• acceptanceDateTime: when EDGAR accepted the filing, in UTC.
• items: the items the filing declares in its EDGAR header, where <ITEMS> "Identifies 1 or more items declared in the filings" (Public Dissemination Service Technical Specification).
• itemTitles: the caption of each item, in the same order. A code with no caption is repeated as it is.
• primaryDocument, primaryDocumentUrl: the file the SEC's submissions API names as the filing's primaryDocument, and its link. The SEC does not define which document that is.
• filingIndexUrl, sourceUrl: the filing's index page on EDGAR.
• text (with includeText): the plain text of the filing's document whose type is its form, 8-K or 8-K/A, with scripts, styles and inline XBRL metadata removed and paragraph breaks kept.
• exhibits (with includeText): every document of the filing whose type is an exhibit type (EX-...), each with its type, filename, description and url. A document's type is the <TYPE> the filing declares for it; file names are chosen by the filer and do not define it. XBRL files the filing declares as exhibits, such as EX-101.SCH, are listed too.

Filings before August 23, 2004

Filings made before August 23, 2004 used a different numbering. For them itemTitles gives the SEC's titles for the earlier items: 1 Changes in control of registrant; 2 Acquisition or disposition of assets; 3 Bankruptcy or receivership; 4 Changes in registrant's certifying accountant; 5 Other events; 6 Resignations of registrant's directors; 7 Financial statements and exhibits; 8 Change in fiscal year; 9 Regulation FD Disclosure; 10 Amendments to the Registrant's Code of Ethics; 11 Temporary Suspension of Trading Under Registrant's Employee Benefit Plans; 12 Results of Operations and Financial Condition; 13 Receipt of an Attorney's Written Notice Pursuant to 17 CFR 205.3(d) (Webmaster FAQ). The items filter takes the current codes, so it does not match these filings.

Limitations

• An item says which part of the form the filing reports under, not what happened; the text is in the filing.
• Items 7.01 and 8.01 are voluntary, so their absence says nothing.
• Filings made before August 23, 2004 use the earlier item numbers, which the items filter does not match.
• Tickers come from the SEC's ticker file, which the SEC does not guarantee.
• The text is only the document whose type is the filing's form. The filing's other documents, exhibits included, are not in it; exhibits are listed with links.

Errors and rate limits

The ERRORS record in the run's key-value store lists, one entry each: tickers that are not in the SEC's ticker file, tickers whose filing list could not be read, and, with includeText, filings whose text could not be read, with their accession number and link. A filing whose text could not be read is still returned, with text empty and no text charge. The status message counts the filings and the errors. Nothing in ERRORS is charged.

The SEC limits each user to "no more than 10 requests per second, regardless of the number of machines used to submit requests", and asks automated tools to declare who they are. The actor identifies itself as Code Craft Colorado, LLC with your Apify user ID and a contact address, and spaces its requests to stay within the limit. When the SEC refuses a request as over the limit, the actor pauses all requests for 10 minutes, the period after which the SEC says a user "may resume", and continues at a lower rate. If the SEC is still refusing after 20 minutes of pauses in one run, the run stops with a status message saying so. If the SEC rejects the actor's declared identity, the run fails. Either way, every row already delivered is kept.

Each ticker costs a request for its filing list (more for long date ranges) and, with includeText, one request per filing.

How much does it cost?

The billable unit is one dataset row, one filing that passed your filters. With includeText, a second event, filing-text, is charged once for each filing whose text was delivered. Looking up tickers, reading filing lists, pausing for the SEC and writing ERRORS are not charged. Current prices are on the Pricing tab of this page.

FAQ

Are amendments included? Yes. A Form 8-K/A is returned as its own row with form 8-K/A and its own accession number.

How does the item filter treat a filing with several items? It matches when any one of the filing's items is in your list, and the row lists all of them.

Why are exhibits listed only with includeText? Both come from the filing's full submission text, which is read only when text is asked for.
