Run daily. Pay only for newly seen 8-K material event filings that match your tickers or CIK codes.
buyer wedge
Built for equity research desks, risk teams, and corporate development groups who need a narrow material-event feed—not another bulk EDGAR dump.
why it is different
- signal, not retrieval: unmatched 8-K filings are omitted and free.
- item-level filtering: optional
eventTypesfilter by 8-K Item number (1=entry into MA, 2=results of ops, 4=directors/officers, etc.). - correction-aware: a materially changed source record emits
SOURCE_CORRECTIONonce. - replay-safe: stable event IDs and provider idempotency keys suppress duplicate charges.
- bounded spend:
maxEventsandmaxTotalChargeUsdcap each run before charging. - audit evidence: every row includes the official EDGAR accession, source fingerprint, timestamp, and disclaimer.
price example: three new material events plus one material source correction cost $0.95; unmatched and unchanged filings cost $0.00.
source and scope
The Actor queries the official EDGAR full-text search API for 8-K filings. No API key, browser, proxy, personal data, or AI inference is required. This Actor is an internal screening aid and emits new or corrected filings; it does not provide investment advice or claim event interpretation.
matching
At least one watch term is required:
tickers: exact match against 8-K filer tickerscikCodes: exact match against SEC Central Index Key numberseventTypes: optional filter by 8-K Item number (1-8)
baselineMode=emit_matches returns matching filings in the initial lookback window. Use silent to establish state without emitting or charging initial matches. Reuse the same watchlistId, settings, and stateStoreName for scheduled monitoring.
output
Paid dataset rows are either:
NEW_EVENT—$0.30SOURCE_CORRECTION—$0.05
Unmatched filings, unchanged replays, silent baselines, malformed input, and failed source fetches are not paid events. A deterministic run report is stored as REPORT with source window, counts, receipts, state size, and claim scope.
operational note
If EDGAR returns an error or an unexpected response shape, the run fails before state is advanced or events are charged. Event settlement is fail-closed: an ambiguous prior settlement refuses another provider charge.
quick start
Start with a silent baseline so historical filings do not create paid events, then schedule the identical input daily.
{"watchlistId": "material-events-watch","tickers": ["AAPL", "MSFT"],"cikCodes": [],"eventTypes": ["1", "2", "4"],"lookbackDays": 7,"baselineMode": "silent","maxEvents": 20,"maxTotalChargeUsd": 5,"stateStoreName": "material-events-watch-state"}
After the baseline, keep watchlistId, watch terms, and stateStoreName stable. Route returned NEW_EVENT rows to a research review queue. Confirm every action against the linked EDGAR source; this feed is deliberately not an event-interpretation or investment-advice system.
Other focused monitors: insider trade deltas, IPO pipeline filings, and regulatory rule changes.
