What does Form D Funding Rounds & Fund Launches Tracker do?
Form D Funding Rounds & Fund Launches Tracker pulls every new SEC Form D filing from EDGAR for the dates you choose and returns private funding rounds and new VC, PE and hedge fund launches as clean, flat rows: issuer, industry, offering size, amount sold, number of investors, exemptions, first-sale date, fund type and links to the official filing.
Think of it as a Form D API and a funding rounds API alternative built on official filings, ready for spreadsheets, CRMs and AI agents. No personal data: names of executives, directors and promoters, signatures, broker names, phone numbers and street addresses are never included.
Why use it?
- Official, reusable source. Every row comes from a Form D notice filed with the U.S. Securities and Exchange Commission, with links to the filing.
- Operating companies or investment funds. By default, pooled investment funds (about two thirds of all filings) are removed, so you only get startups and businesses raising a round. Switch to investment funds to track new venture capital, private equity, hedge and other funds, with fund type, Investment Company Act 3(c) exclusions and the Rule 506(c) flag.
- Round tracking. Each amendment (Form D/A) is linked to the previous filing, with the amount sold before and the change (
amountSoldDelta). You also get the issuer's Form D history: first-time issuer, first Form D date and filing count, plus the offering file number that groups all filings of one offering. - Alerts without paying twice. Turn on Only new since last run and schedule the Actor: each run returns only filings an earlier run has not returned, and repeats are never charged. Send results to webhooks, Slack, Google Sheets, Make or Zapier with Apify integrations.
- Complete and robust. Filings are found per day through EDGAR full-text search, with automatic fallback to the EDGAR daily index if search fails (the daily index for a day appears only after that day ends). A completeness test checks that one full day (2026-10-09) returns all 365 Form D and D/A filings.
- A flat, stable schema for AI agents and MCP clients asking "who raised money in Texas this week?".
Use cases
- B2B prospecting: SaaS, banking, insurance, payroll, legal and other teams selling to newly funded companies.
- VC and fund research: new funds, fund sizes, 506(c) funds that may advertise, competitor activity.
- Fund-service prospecting: fund administrators, placement agents, auditors and other fund-service vendors.
- Journalism and statistics: private capital raised by state, industry or exemption.

Good to know: Form D does not contain a company website, the round stage (seed, Series A …), a valuation or investor names. It does contain the amounts, the investor count and the industry.
How to track Form D funding rounds
- Choose the issuer type: operating companies (default), investment funds or all issuers.
- Set the date window: "Filed within (days)" or fixed "Filed from" / "Filed to" dates.
- Add filters if you like: states, industry groups, fund types, exemptions, minimum amount sold, minimum offering size, words in the issuer name.
- Keep Track rounds on to link amendments and add the issuer history, or turn on Only new since last run for a scheduled alert.
- Set Max filings and click Start.
- Download the results as JSON, CSV, Excel or HTML, or read them through the Apify API.
How much does it cost?
This Actor uses pay-per-event pricing. You pay $3.00 per 1,000 Form D filings on the free tier, plus $0.00005 per run start. Paid Apify plans get lower prices:
| Discount tier | Price per Form D filing | Per 1,000 filings |
|---|---|---|
| Free | $0.0030 | $3.00 |
| Bronze | $0.0026 | $2.60 |
| Silver | $0.0022 | $2.20 |
| Gold | $0.0018 | $1.80 |
Examples on the free tier:
- A test run of 20 filings costs $0.06.
- A daily alert of about 100 new operating-company filings costs about $0.30 a day.
- 1,000 filings with round tracking cost $3.00 and take about 12 minutes.
You are never charged for filtered, duplicate or already-seen filings, for filings that could not be read, or for empty runs (only the run start). Round tracking is included in the price. When your spending limit is reached, the Actor stops and keeps everything it has delivered. If the limit is below the price of one filing, the run ends with 0 filings and its status message says so.
Input
See the Input tab for every option. Three ready-made presets:
Technology raises over $1M in California, New York and Texas (last 7 days)
{"issuerType": "operating","filedWithinDays": 7,"states": ["CA", "NY", "TX"],"industryGroups": ["technology"],"minAmountSold": 1000000}
New venture capital funds in the last 30 days
{"issuerType": "fund","fundTypes": ["venture-capital"],"filedWithinDays": 30,"includeAmendments": false,"maxItems": 2000}
A fund-type filter needs each filing's own XML, so this run reads every new Form D filing in the window (amendments are skipped before that): under a minute per business day. A test run on 2026-10-13 returned 793 venture capital funds for 30 days in 18 minutes (about $2.40 on the free tier). For 90 days set "filedWithinDays": 90 and "maxItems": 5000, and raise Timeout in the run options to 2 hours, because such a run takes close to an hour (roughly 2,500 filings, about $7.50).
Daily alert: first-time issuers only (schedule it once a day)
{"issuerType": "operating","filedWithinDays": 3,"onlyFirstFormD": true,"onlyNew": true,"stateName": "first-time-daily"}
Notes:
- Dates are US Eastern, like EDGAR. One run covers at most 366 days; electronic Form D data starts in 2009.
- States are two-letter codes of the principal place of business as stated in the filing (
issuerStateOrCountry). EDGAR country codes work too (E9 = Cayman Islands). - "Only new since last run" keeps a separate memory per set of filters, or per Alert name if you set one. A filing stays in the memory for 400 days after the last run that returned or skipped it, so re-running an old window does not return (or charge) the same filings again.
acceptedAt(with Track rounds) is EDGAR's acceptance time in UTC, read from each filing's own SEC header. Filings accepted after about 5:30 pm US Eastern get the next business day asfiledDate.
Output
You can download the dataset in various formats such as JSON, HTML, CSV or Excel. The dataset has three views: Overview, Investment funds and Round tracking. Real output from a run on 2026-10-13:

Form D in two minutes
- What it is. Companies and funds that sell securities privately under Regulation D file a short notice, Form D, within 15 days after the first sale. It is a notice, not a registration, and it is public.
- Rule 506(b) vs 506(c). Under 506(b) the issuer may not advertise the offering. Under 506(c) it may solicit investors publicly but must verify that they are accredited, so a 506(c) filing often means "actively raising".
- Amendments (Form D/A). Issuers file an amendment to correct a filing, after a material change, or every year while an offering continues. The amount sold and the investor count then usually go up, which is what round tracking measures.
- "Indefinite" amounts. Many funds do not state an offering size. The field is then null and
isOfferingAmountIndefiniteis true. - Why so many funds and SPVs? Pooled investment funds and special-purpose vehicles file Form D for every fund, series or annex. That is why operating companies are the default and funds are a separate mode.
Tips
- For a quick look keep Max filings small; the first filings arrive within seconds.
- Turn off Track rounds when you do not need amendment deltas, issuer history or the acceptance time; runs become about three times as fast.
- Filters on exemptions, amendments, issuer names and operating companies make runs faster, because they are checked before a filing's XML is read. State, industry, fund-type and amount filters need the filing itself, so they cut cost but not run time: such a run reads every filing in the window, about 25 seconds per business day for operating companies, about 60 seconds for investment funds and about 70 seconds for all issuers.
- The Actor follows the SEC's fair-access rules (at most 5 requests per second), so very large windows take a while: about 12 minutes per 1,000 filings with round tracking (about 4 minutes without). The default run timeout of 1 hour fits about 5,000 filings with round tracking; raise Timeout in the run options, or split the window, for more.
FAQ
Is it legal to use Form D data?
Yes. Form D filings are public. The SEC states: "All Government-created content on sec.gov and EDGAR public filing content are free to access and reuse." Its privacy policy adds that the information "may be copied or further distributed by users of the web site without the SEC's permission. Please consider appropriate citation to the SEC as the source." Every row carries a source attribution to the SEC. The Actor only reads official SEC endpoints, declares itself as an automated tool, stays within the SEC's request-rate limits and bypasses nothing.
Our Actors are ethical and do not extract any private user data, such as email addresses, gender or location. This Actor reads only the business fields of each filing and leaves out every person-related part. However, an issuer's legal name can itself contain a person's name (for example "Jane Doe Holdings LLC"), because that is the entity name the filer published. Personal data is protected by the GDPR in the European Union and by other regulations around the world. You should not process personal data unless you have a legitimate reason to do so. If you're unsure whether your reason is legitimate, consult your lawyers.
Why are there no executives, signers or phone numbers?
To keep the output free of personal data (GDPR). If you need a filing's full content, open its filingIndexUrl on EDGAR.
How fresh is the data?
Filings appear on the same business day they are accepted by EDGAR. Nothing is published on weekends or federal holidays, so a window of only those days returns nothing (and costs only the run start).
Does it show the round stage, valuation or investors?
No. Form D does not contain them. It shows the amounts, investor count, industry, exemptions and dates.
What are the limits?
One run covers at most 366 days, and electronic Form D data starts in 2009. A run returns at most 100,000 filings. The default run timeout is 1 hour, which fits about 5,000 filings with round tracking (about 15,000 without it), or about 50 business days of all issuers when a state, industry, fund-type or amount filter has to read every filing. For bigger jobs raise Timeout in the run options or split the period into several runs; a run that times out keeps (and charges) only what it delivered. If SEC EDGAR stops responding, or 40 filings in a row cannot be read, the run stops and keeps what it has delivered; a run that delivered nothing fails, so you are charged only the run start. A run in which no filing could be read at all fails as well, instead of reporting an empty result.
Can I use it through an API or with AI agents?
Yes. Use the API tab for code examples, or run it from MCP clients and integrations. The schema is flat and stable.
