The rows come from a cloud run of 04.11.2026 (the example input). Each item also has the links to the filing index and its main document, the XBRL flags, the file and film numbers and the company's industry.

Who uses it

  • Portfolio and event monitoring: the new 8-Ks of a watch list (earnings 2.02, officer changes 5.02) each morning.
  • Research and AI agents: the 10-K and 10-Q links of a sector, ready to download or to feed to a model.
  • Due diligence and compliance: the filings since 2001 that mention a phrase, a product or a counterparty.

What it does not do

  • It does not copy the text of a filing. Follow filingIndexUrl or primaryDocumentUrl for that.
  • It does not return filings of persons: no insider forms 3, 4, 5 or 144 ("Personal data" below).
  • It does not parse financial figures. For those, use SEC company fundamentals.

Input

A company list (complete, since 1994):

{ "companies": ["AAPL", "MSFT", "320193"], "forms": ["10-K", "8-K"], "dateFrom": "2025-01-01", "maxFilingsPerCompany": 10 }

A full-text search (filings since 2001):

{ "query": "\"share repurchase\"", "companies": ["AAPL", "MSFT"], "forms": ["10-K"], "dateFrom": "2023-01-01" }
FieldMeaning
companiesTickers (AAPL, BRK.B or BRK-B) or SEC CIK numbers (320193 or 0000320193). Up to 1,000 per run. Empty: search all of EDGAR (then give a query or form types).
formsEDGAR form types: 10-K, 10-Q, 8-K, S-1, DEF 14A, 20-F, SC 13G and others. Empty: all forms. Forms 3, 4, 5, 144 and MA-I are not served.
queryOptional. EDGAR full-text search: words (all required), "exact phrases", OR, -word, NEAR(5), stem*.
dateFrom, dateToFiling dates, YYYY-MM-DD, both included. Empty: no limit.
includeAmendmentsDefault true: 10-K/A comes with 10-K. An amendment named in forms always comes.
maxFilingsThe run stops after this many filings. Default 100.
maxFilingsPerCompanyOptional cap per company.

How the actor reads EDGAR:

  • Companies without a query: each company's own filing list from the SEC submissions API. A company's list is newest first.
  • A query, or no companies: the EDGAR full-text search. Its results come in order of relevance.
  • A Schedule 13D or 13G for your companies: a full-text search for each company, after its list. Only the search names every party of the filing (see "Personal data"). The other forms of the run still come from the list.

SC 13G and SCHEDULE 13G are the old and new names of the same form (EDGAR renamed them in December 2024). Each one asks for both.

  • items are the 8-K item numbers, for example ["2.02", "9.01"] (results of operations, exhibits).
  • reportDate is the period of the report. EDGAR leaves it empty for some forms: then it is null.
  • Two fields are filled only for a filing from the full-text search (else null):
    • parties lists every company named on the filing, for example the issuer and the holder of a Schedule 13G.
    • matchedDocuments lists the documents of the filing that matched, each with its URL.
  • A search item has no acceptanceDateTime, sizeBytes, XBRL flags or primary document: the search does not give them. filingIndexUrl leads to all documents of the filing.
  • A free item (error set) has the same fields, most of them null. message says why.

Pricing (pay per event)

100 filings cost USD 0.10. 10,000 filings cost USD 10. These items are free:

  • an unknown ticker;
  • an input that is not a ticker or a CIK;
  • a CIK that is not a company filer;
  • a company or a search without a matching filing.

A filing that two of your companies share is charged once.

Data source and terms

  • Source: the SEC's EDGAR system:
    • the submissions API on data.sec.gov (/submissions/CIK##########.json), which holds each filer's filing list;
    • EDGAR full-text search (efts.sec.gov/LATEST/search-index), which covers "the full text of all EDGAR filings submitted electronically since 2001";
    • tickers from https://www.sec.gov/files/company_tickers.json.
  • The SEC states that its EDGAR APIs "do not require any authentication or API keys to access".
  • Terms: the SEC states: "Information presented on sec.gov is considered public information and may be copied or further distributed by users of the web site without the SEC's permission." Each item names its source.
  • Fair access: the SEC writes: "Current guidelines limit each user to a total of no more than 10 requests per second, regardless of the number of machines used to submit requests." It asks automated tools to declare a User-Agent.
  • This actor is not affiliated with or endorsed by the U.S. Securities and Exchange Commission.

Personal data

EDGAR also holds filings of persons: insiders, holders of shares, people who sell restricted stock. This actor returns filings of companies only:

  1. A filer counts as a company only when EDGAR types it as operating or investment. EDGAR types persons as other. Some firms are other too, and their filings are left out as well.
  2. Forms 3, 4, 5 and 144 are reports of insiders on their own shares. Form MA-I describes one person of a municipal advisor. These forms are not returned.
  3. A full-text search filing is returned only when every party on it is a company. A Schedule 13G that an investment firm files on a company passes. A Schedule 13G of a person does not.
  4. A company list leaves out the forms that a third party files about the company: Schedule 13D/G, a shareholder's nominee notice, exempt, contested and dissident proxy material, a bidder's tender offer. The list does not name that party. Ask for such a form by name: then the actor searches for it and checks each party.
  5. The actor returns metadata and links. It does not copy the text of a filing, and it does not return a company's addresses or phone number.

A CIK that is not a company gives a free item without a name.

A company named after a person keeps its name, because it is a legal person.

What the data is - and is not

  • The metadata is as published by the SEC. The filing itself (filingIndexUrl) is the authoritative text.
  • This is not investment advice. The actor delivers data. It does not rate or recommend any security.

Limits

  • The full-text search covers filings since 2001. For older filings, give companies without a query.
  • The full-text search returns at most 10,000 documents per query. The run log says when a query reaches this limit: then narrow the dates or forms.
  • The full-text search ranks by relevance. maxFilings therefore keeps the most relevant filings, not the newest.
  • A search stops after 1,000 matching filings with a party that is not a company. The run log says so: then narrow it.

Run summary

The run summary is in the default key-value store under SUMMARY, the counts under STATS. The data comes as the source publishes it, without warranty.
