SEC Form D Funding Leads

Get a list of companies that just raised money, straight from the SEC. When a US company sells shares or notes in a private round (a seed round, a Series A, a real estate syndication), it has to file a Form D with the SEC within 15 days of the first sale. This actor reads those filings from EDGAR and turns each one into a clean lead row: who raised, how much, from how many investors, who runs the company, and how to reach it.

Run it for a date range, or switch on monitor mode and schedule it daily to get only the filings that are new since the last run.

What you get for each filing

  • Company: name, CIK, entity type, state and year of incorporation, and whether it was incorporated in the last five years
  • Contact: street address, city, state, zip and the business phone number from the filing
  • The raise: total offering size, amount already sold, amount remaining, minimum investment, number of investors, date of first sale, and whether non-accredited investors took part
  • Classification: Form D industry group (for example Biotechnology, Other Technology, Commercial Real Estate), revenue range, exemption (Rule 506(b), 506(c), 504 and others), and the types of securities sold
  • People: every related person listed on the filing (executive officers, directors, promoters) with their roles, plus a short executives list and the name and title of the person who signed
  • Links: the SEC filing index page, the raw Form D XML and the company's list of Form D filings

Filters

  • Issuer states: for example CA, NY, TX
  • Industry groups: match on words such as Technology, Health, Biotechnology, Real Estate
  • Exemptions: for example 06c for Rule 506(c) offerings
  • Minimum amount raised and minimum offering size in USD
  • Skip investment funds (on by default): drops hedge, VC, PE and real estate fund filings so you get operating companies
  • Skip amendments (on by default): original filings only, no Form D/A
  • Only companies incorporated in the last 5 years: a quick startup filter

Common uses

  • Sales prospecting: companies that just closed a round are buying software, hiring and signing vendors. Reach them in the weeks after the raise.
  • VC and deal research: track who is raising in your sector and state, how big the rounds are and who sits on the board.
  • Fintech, banking and insurance: find newly funded companies that need business accounts, payroll, insurance or treasury services.
  • Recruiting and agencies: spot companies with fresh capital before they post jobs.
  • Market maps: count raises by industry, state and size over a period.

Amounts are in US dollars. An offering marked "Indefinite" on the form has total_offering_amount: null and offering_amount_indefinite: true.

Pricing

You pay per lead delivered, plus a tiny start fee. Platform usage is included.

  • $0.005 per lead (one filing that passed your filters)
  • $0.001 per run start

Filings removed by your filters are not charged. In monitor mode, a daily run that finds nothing new costs only the start fee. A typical weekday has a few hundred Form D filings in total, and fewer after filters.

How it works

The actor uses the SEC's public EDGAR full-text search to list Form D filings for each day in the range, then downloads each filing's Form D XML from sec.gov. It identifies itself to the SEC and stays under the SEC's limit of 10 requests per second. No API key, login or proxy is needed.

Limits

  • Data is exactly what the company filed. Form D has no email address and no website field, so neither is included. The phone number is the one on the form.
  • Executive names come from the related persons section. Some filings list only a fund manager or a promoter.
  • Filing dates follow EDGAR, which uses US Eastern time.
  • A single run covers up to 92 days. Split longer periods into several runs.
  • Not affiliated with or endorsed by the SEC. Form D data is public information.
