SEC Form D Filing Monitor finds public Form D and D/A filings. It returns structured records with official SEC links and a clear run status.

What you get

  • one row for each accepted SEC filing event;
  • filing date, form type, accession number and CIK;
  • filed issuer, industry, offering, security and exemption fields;
  • filed amount offered, amount sold and remaining amount when available;
  • disclosed related-person and sales-compensation fields when selected;
  • the original D filing and each D/A amendment as separate events;
  • a summary that explains empty, partial, blocked or capped results.

Form D reports filed facts about an exempt offering. A filed amount is not proof of cash received or a closed round. This Actor does not give legal, financial or investment advice.

How to use it

  1. Choose snapshot for a one-time search.
  2. Choose backfill for a fixed historical date range.
  3. Choose monitor for a repeat check of one saved scope.
  4. Choose the market, CIK or exact accession route.
  5. Add dates or filed-value filters when you need a smaller search.
  6. Set a result limit and a maximum charge for the run.
  7. Start the run and open the Dataset and OUTPUT summary.

For a monitor, keep one stable stateKey for one watch. Keep the other scope settings the same. The Actor checks an overlap window for late index entries and source corrections. An unchanged accession is not returned again. A D/A is a new event with its official previous accession when that link is present.

Pricing and limits

The Actor charges one $0.001 start event per allocated GB of memory, with a minimum of one start event, and $0.001 for each unique accepted filing or change row saved to the Dataset. Empty results, duplicate rows, errors, warnings, summaries and unprocessed work are not filing events. A maximum charge can stop a run before the next row.

The default time limit is 240 seconds. The maximum output is 1,000 rows. The maximum candidate scan is 20,000 records. A cap produces an explicit CAPPED status and does not prove complete coverage.

Data and source

The Actor reads public SEC EDGAR Form D/D/A routes over direct HTTPS. Requests use one declared User-Agent, pacing and bounded retries. The Actor does not use a proxy or rotating identity to avoid SEC controls.

The output does not enrich issuers or people. It does not collect websites, email addresses, phone numbers, social profiles or contact lists. Public filing data may contain personal information. Check the linked source notice before using a record.

Data comes from public SEC EDGAR records. This Actor is not affiliated with, endorsed by or sponsored by the U.S. Securities and Exchange Commission.

Support
