SEC Form D Funding Tracker — New Startup Rounds

Know which US companies raised money this week — straight from the SEC filing, whether or not they announced it. Every company that sells shares in a Reg D private round (seed, Series A/B, SAFE, convertible note, angel) must file a Form D with the SEC within 15 days of the first sale. This Actor reads those official filings every business day and gives you a clean, filterable list: company, amount raised, industry, city/state, year founded, number of investors, and a direct link to the filing.

No login. No API key. No proxy. Funds, SPVs and real-estate vehicles are filtered out by default, so the list is operating companies you can actually sell to, recruit for, or invest alongside.

Real example from one run (filed 2026-10-27 → 2026-10-29, tech & health, ≥ $500k): Commure, Inc. (Mountain View, CA) $70.1M · TrashLab Software Inc. (San Francisco, CA) $10.7M · Arms Cyber Defense, Inc. (Los Gatos, CA) $9.96M · Septal Solutions, Inc. (Exton, PA) $7.3M via SAFE · Fathom Water Corp (Kirkland, WA) $4.3M · Swep Bio, Inc. (Scarsdale, NY) $2.5M.

What's new: change tracking and signal scoring

Two optional switches (both off by default):

  1. Change tracking (changeTracking) + State key (stateKey) — schedule the Actor and label each filing new (issuer never seen under this key) or changed (new Form D or a D/A amendment, with amount delta). First run is a baseline. Form D has no closed event.
  2. Signal scoring (signalScoring) — adds an explainable 0–100 signal_score, a hot/warm/cool/cold tier and plain-English score_reasons on each filing.

Baseline tip. With change tracking on, Max results and Max filings to scan only limit this run's output. Every candidate filing in the date window is saved as seen, so capped-out filings are not sent or charged on a later run. Check skipped_by_max_results and skipped_by_max_scan in RUN_SUMMARY; raise the caps on the first run if those are not 0 and you want a fuller baseline. Only filings stopped by your max charge per run (or XML fetch errors) stay unseen.

Details: Change tracking · Signal score.

Who it's for

VC / angel / analystDeal-flow and market maps: every new private round in your sector and state, with round size, security type (equity, SAFE, convertible debt) and investor count. Spot companies raising without a press release.
B2B sales / agency / SaaSA company that just raised has new budget and a hiring plan. Reach them in the first weeks after the round. Filter by industry, state and amount to match your ICP.

Quick start

Free preview: switch on Free sample mode → 5 operating companies from the last 3 days, not charged.

Tech & health startups that raised ≥ $500k in the last 7 days (this is the default form):

{
"daysBack": 7,
"categories": ["operating_company"],
"industries": ["Other Technology", "Computers", "Biotechnology", "Other Health Care"],
"minAmountSold": 500000,
"maxResults": 20
}

Young California & New York companies, $1M–$20M rounds, last 30 days:

{
"daysBack": 30,
"states": ["CA", "NY"],
"minAmountSold": 1000000,
"maxAmountSold": 20000000,
"onlyIncorporatedWithin5Years": true,
"maxResults": 200
}

Daily monitor (schedule it): add "onlyNewSinceLastRun": true. The Actor remembers filings it already returned, so each scheduled run delivers only new rounds and you are never charged twice for the same filing. Use stateKey to keep separate watch lists.

More filters: companyKeywords / excludeCompanyKeywords (e.g. ["AI","Robotics"]), startDate / endDate (up to 90 days back), onlyNewOfferings (skip Form D/A amendments, on by default), categories (switch to pooled_fund or spv_or_vehicle if you track funds instead).

Change tracking: new vs repeat issuers (optional)

Turn on Change tracking (changeTracking: true) with a stateKey and schedule the Actor. It remembers every issuer (CIK) it has delivered. Later runs skip filings you already got, and each row gets:

  • change_type: "new" when the issuer has never been delivered under this key
  • change_type: "changed" for a new Form D or a D/A amendment from an issuer you already have, with previous_accession_number, previous_filed_date, previous_amount_sold_usd and amount_sold_delta_usd (how much more was raised since the filing you saw)

Amendments from tracked issuers come through even when Only new offerings is on. Untracked amendments still follow that setting. Form D has no "closed" event, so there are no closed rows. Off by default; when on, it replaces Only new since last run for that run.

Caps only limit output. With change tracking, every candidate filing in the date window is saved as seen, including filings cut by Max results and filings beyond Max filings to scan. A rerun with the same input therefore outputs nothing and charges nothing. Skipped filings are not carried to the next run; RUN_SUMMARY reports them as skipped_by_max_results and skipped_by_max_scan, so raise the caps if those counts are not 0. Only XML fetch errors (retried next run) and filings your max charge per run stopped stay unseen, so no filing is charged twice. The issuer list (new vs changed) only includes issuers you were actually sent. The older Only new since last run mode keeps its own behavior.

Real example (Oct 2026 data; run 1 covered Oct 1-7, run 2 covered Oct 1-9 with companyKeywords: ["Swarm Defense"] among others):

{"company_name":"Swarm Defense Technologies, Inc.","form_type":"D/A","filed_date":"2026-10-09","change_type":"changed",
"total_amount_sold_usd":2040000,"previous_amount_sold_usd":2000000,"amount_sold_delta_usd":40000,"previous_filed_date":"2026-10-05"}

Explainable signal score (optional)

Turn on Signal score (signalScoring: true) to add signal_score (0-100), signal_tier (hot ≥70, warm ≥45, cool ≥20, cold), score_reasons, score_components, prior_edgar_filings and is_first_edgar_filing to every row.

ComponentMaxWhat it measures
amount35amount sold, log scale ($100k = 0, $100M+ = 35)
first filing20the issuer's first EDGAR filing (20), a new offering from an issuer with up to 3 earlier filings (10), a repeat filer (5), an amendment (0)
young company15incorporated within 5 years (15 if within the last 2 years)
industry15your scoreIndustries (15 or 0), or built-in weights: technology 15, health/biotech 12, energy 10, other operating 6, finance/real estate 0
freshness10days from first sale to filing (≤15 days = 10) or still raising
traction5percent of the offering sold and number of investors

Checking for a first filing costs one extra request to SEC's public /Archives/edgar/data/{cik}/index.json per delivered filing, at the same polite rate.

Real example (filed Oct 5 2026):

{"company_name":"Swarm Defense Technologies, Inc.","total_amount_sold_usd":2000000,"signal_score":68,"signal_tier":"warm",
"score_reasons":["+15 amount: $2,000,000 sold so far (log scale: $100k = 0, $100M+ = 35)","+15 young company: incorporated in 2026",
"+15 industry: Other Technology (technology)","+10 first filing: new offering, issuer has only 1 earlier EDGAR filing",
"+10 freshness: filed 11 days after the first sale","+3 traction: 100% of the offering sold, 1 investors"]}

The score helps you rank filings. It doesn't predict anything.

Pricing (pay per event)

EventWhen it is chargedPrice
filingOne matched Form D filing pushed to your dataset$0.008 (= $8 per 1,000 filings)

That is the only charge. No start fee. Filings removed by your filters, errors, and Free sample mode runs are not charged. Monitor mode and change tracking never re-charge a filing they already gave you. With change tracking, an amendment to a tracked issuer is a new filing and is charged as one filing. Set Maximum cost per run and the Actor stops cleanly at your limit.

Illustration (not a measured average): a daily monitor that returns ~20 new tech/health rounds per business day ≈ 440 filings a month ≈ $3.52/month.

Data source, legality and privacy

  • Source: SEC EDGAR public archives — the daily form index (/Archives/edgar/daily-index/) and each filing's primary_doc.xml. U.S. government public records.
  • Follows the SEC fair-access policy: declared User-Agent with a contact email, default 5 requests/second (hard cap 9; SEC's limit is 10). Only /Archives/ paths, which robots.txt allows.
  • No personal data in the output. Form D lists executives, directors and promoters by name and street address; this Actor drops them and returns only role counts. No phone numbers, no street addresses.

Limits

  • Form D covers Reg D private offerings only. Raises without a Form D (some SAFE rounds, non-US raises, late or missing filings) won't appear.
  • stage_hint is our amount-based estimate. industry_group is the issuer's own choice (many pick "Other").
  • Fund/SPV detection uses the SEC industry field plus name patterns; a few edge cases can slip through.
  • EDGAR publishes the daily index in the evening (US Eastern) on business days. Weekends and holidays have none.

FAQ

How fresh is the data? As fresh as EDGAR: filings appear in the daily index the evening they are disseminated.

Why didn't a company I know about show up? It may not have filed a Form D, may have filed under a different legal name (try companyKeywords), or may be classed under an industry/state you filtered out.

Can I get funds or SPVs instead of startups? Yes: set categories to ["pooled_fund"] or ["spv_or_vehicle"].

Why is there a "Free sample mode" switch instead of "run with empty input"? Apify always fills the form defaults into the input, so an empty input never reaches the Actor. The switch makes the free preview explicit.

Can I see older filings? Up to 90 days back per run with startDate / endDate.

What is change tracking / stateKey? Turn on changeTracking and set a stateKey. The Actor remembers issuers under that key and later runs only push filings you have not already got, labeled new or changed. Use different keys for different watch lists.

What is signal scoring? Turn on signalScoring for an explainable 0–100 score with reasons on each filing. It is a ranking aid, not a prediction.

I used a small Max results on the first tracked run — where did the rest go? With change tracking, capped-out filings are marked seen and will not be pushed later. Raise Max results / Max filings to scan on the baseline (or check RUN_SUMMARY skip counts) if you want a fuller baseline.

Funding (this Actor) + new job postings (above) = the two strongest "they're about to buy" signals.

Changelog

  • 1.1 — explicit Free sample mode (Apify fills defaults into the input, so the old "empty input = sample" never triggered on the platform); prefill trimmed to 20 results; README rewrite.
  • 1.2 — change tracking: caps only limit output (full scanned list saved as seen); README / store copy for changeTracking + signalScoring.
  • 1.1 — optional change tracking (new vs repeat issuers, amendments with amount delta) and an explainable 0-100 signal score.
  • 1.0 — first release: daily-index scan, operating-company filter, monitor mode, PPE filing event.
