SEC Form D Scraper: Startup Funding & Private Placement Alerts

Get alerts for companies that just raised (or are raising) private money. Every Form D filed with the SEC is a Regulation D private placement: startups closing a seed or Series A round, real-estate syndications, oil & gas deals, and hedge / VC / PE funds. This Actor pulls them from official SEC EDGAR data, parses each filing and gives you clean rows: issuer, industry, offering size, amount sold, number of investors and filing link. No API key needed.

Use it to:

  • 💼 Find freshly funded startups to sell to. Companies that just raised money are buying software, services and hiring. Filter by industryGroups: ["Other Technology"] and your target states.
  • 📈 Track VC, PE and hedge-fund launches (industryGroups: ["Pooled Investment Fund"]) for fund admin, legal, audit and banking prospecting.
  • 🏠 Watch real-estate syndications in your market.
  • 📰 Spot funding news before the press release for journalists and investors.
  • 📊 Build a private-markets database in Google Sheets, Airtable or your CRM with Apify integrations, on a daily schedule.

Why this Actor:

  • Uses the official EDGAR full-text search and filing XML, so it doesn't break when a website changes.
  • Follows the SEC fair-access policy: declared User-Agent with your contact e-mail, one request at a time and well under 10 requests/second, automatic back-off.
  • Only new filings each run (per State key), so a daily schedule = a daily alert.
  • Issuer-level data only. Executives, directors and promoters ("related persons"), signer names, sales-compensation recipients, street addresses and phone numbers are not included.

How much does it cost?

You pay per event: a small fee per run start plus a fee per filing returned. A daily alert that returns 20 new filings costs cents per day. Use maxResults or the run's Max total charge to cap spend.

Input

contactEmail is required: the SEC asks every automated client to identify itself. It is sent only to sec.gov in the User-Agent header and never written to the output.

Notes

  • Form D is filed within 15 days of the first sale, so it lags the actual raise a little.
  • states matches the EDGAR business or incorporation location code (US states, e.g. CA; other countries use EDGAR codes).
  • Data is public-domain SEC information. This Actor is not affiliated with or endorsed by the SEC.
