Unofficial community Actor. Not affiliated with, endorsed by, or sponsored by the U.S. Securities and Exchange Commission. This is not investment or legal advice.
Turn official SEC Regulation D filings into structured funding and prospecting signals. The Actor scans SEC daily indexes, parses each Form D XML filing, filters out noise, and can calculate real changes against the prior filing for D/A amendments.
What it delivers
- issuer name, CIK, entity type, incorporation jurisdiction, address, and phone;
- industry, security types, exemption rules, and date of first sale;
- total offering, amount sold, remaining amount, minimum investment, and investor count;
- directors and executive officers listed as related persons;
- previous accession plus amount, investor, offering-size, and minimum-investment deltas for amendments;
- canonical SEC filing, XML document, and raw submission URLs;
- stateful deduplication for schedules, webhooks, API calls, and MCP workflows.
By default, pooled investment funds are excluded so the dataset emphasizes operating-company leads. Disable that filter when fund formation is the target market.
Example input
{"lookbackDays": 7,"includeAmendments": true,"fetchPreviousForAmendments": true,"excludePooledInvestmentFunds": true,"industries": ["Technology", "Biotechnology"],"minimumAmountSoldUsd": 250000,"userAgent": "Your Company sec-data@example.com","stateKey": "funding-leads","onlyNew": true,"maxItems": 100}
Good lead workflows
- funding-triggered outbound for recruiters, agencies, SaaS, legal, accounting, and insurance teams;
- alerts when an offering adds investors or reports additional capital sold;
- state- or industry-specific funding feeds delivered to a CRM or Slack;
- fund-formation tracking by including pooled investment funds.
SEC fair access
The Actor stays below the SEC's current 10 requests/second fair-access limit and downloads only the indexes and filings required by the input. SEC guidance asks automated clients to declare a company/app and contact email in the User-Agent; replace the public profile fallback with your monitored business email for production schedules.
Pricing
The live price shown by Apify Store is the source of truth. The Actor is prepared for pay per qualified result after creator payout onboarding; until the Store explicitly displays that model, no separate per-result fee is promised.
Data-use note
Form D is a notice filing, not SEC approval of an offering and not investment advice. Verify any record against the linked SEC filing before acting on it.
