Track new private fundraises in the US from SEC EDGAR Form D filings. Every startup, fund or private company that raises money under Regulation D (Rule 506(b)/(c), 504) must file a Form D within 15 days of the first sale. This actor turns those filings into clean rows: issuer, state, industry, total offering amount, amount already sold, number of investors, date of first sale, executives/directors/promoters and sales-commission recipients, with a link to the source filing.

Works with no input at all: the default run returns the 20 newest Form D filings of the last 7 days in under a minute.

Who uses it

  • VC, PE and angel scouts: see who is raising before it hits the press.
  • B2B sales (banking, insurance, payroll, legal, accounting, recruiting, office space): newly funded companies are buying.
  • Fund administrators and placement agents: monitor competitors and new funds.
  • Journalists and researchers: track private capital by state and industry.

What you get

  • Offering size (totalOfferingAmount) kept separate from money reported sold (totalAmountSold) and remaining — no inflated "raised" numbers.
  • Issuer details: CIK, entity type, jurisdiction, year of incorporation, business address and phone, industry group, revenue range.
  • People: executive officers, directors and promoters listed on the filing; broker/finder recipients and commissions.
  • Filters: filing date window, issuer states, industry groups, min/max offering, minimum amount sold, first-sale date, amendments on/off, exclude pooled investment funds, full-text keywords.
  • New since last run: schedule it daily and only get filings you haven't seen.

How to use

  1. Click Try for free — the form is pre-filled (CA + NY, 10 results).
  2. Set your filters (e.g. states, industryGroups, minAmountSold) and Max results, then run.
  3. Export the table as CSV/Excel/JSON or connect it to Google Sheets, Zapier, Make, Slack or webhooks. For alerts, save it as a task with New since last run and schedule it daily.

A run summary (search hits, scanned, filtered, delivered, why the run stopped) is saved as OUTPUT_SUMMARY in the key-value store.

Pricing

Pay per result: $0.003 per filing ($3 per 1,000). The default run (20 filings) costs about $0.06. A daily alert of ~30 filings costs under $0.10/day. You only pay for delivered rows; set Max results or a maximum cost per run to cap spend — the actor stops cleanly at the limit.

FAQ

Does a Form D mean the round closed? No. It reports an offering and how much was sold so far. Use totalAmountSold / minAmountSold rather than the offering size. The filing date can be weeks after the first sale.

Where does the data come from? From SEC EDGAR's public full-text search and the filing's primary_doc.xml. No login or API key. Requests respect SEC fair-access rules (identified User-Agent, throttled, retried with backoff).

How fresh is it? Filings appear in EDGAR search within minutes to hours of acceptance.

Why are some funds missing? excludePooledFunds (on by default) skips filings classified as "Pooled Investment Fund". Turn it off to include funds and SPVs.

What if SEC is slow? The actor retries, skips a single broken filing instead of failing, keeps all results collected so far, and stops cleanly before the run timeout.

Something missing? Open an issue on the Issues tab.
