Quick start

Zero config: press Start. You get the newest 50 Form D filings from the last 3 business days, pooled funds excluded, in under a minute.

Example 1: recently funded biotech in California or Massachusetts, at least $1M sold

{ "lookbackDays": 10, "industryGroups": ["Biotechnology", "Pharmaceuticals"], "states": ["CA", "MA"], "minAmountSold": 1000000, "maxResults": 100 }

Example 2: daily feed of new raises of $5M+ including amendments

{ "lookbackDays": 1, "includeAmendments": true, "minOfferingAmount": 5000000, "onlyNewSinceLastRun": true, "maxResults": 500 }

Schedule the second one daily: with onlyNewSinceLastRun on, each run returns only filings you have not received before.

Pricing

Pay per event: $0.0025 per Form D filing returned ($2.50 per 1,000) plus a $0.00005 start fee. Filings that are filtered out or already delivered in an earlier run are never charged. Set a max charge in the run options and the actor stops cleanly when it is reached.

Use it with the API, n8n, Make, Zapier, Clay and AI agents

  • API: POST https://api.apify.com/v2/acts/transparent_meteorite~sec-form-d-funding-leads/runs with your input as the JSON body, then read the dataset items.
  • n8n, Make, Zapier: use the Apify integration to run the actor on a schedule and push rows to your CRM, Slack or a Google Sheet.
  • Clay and CRMs: import the dataset as CSV or JSON, match on company name and businessPhone, enrich contacts with your own tool.
  • AI agents: the actor is available through the Apify MCP server, so an agent can call it with filters ("biotech raises in Texas over $2M this week") and read structured rows.

Use from AI agents (MCP, ChatGPT, Claude, Perplexity)

SEC Form D Funding Leads works as a tool for AI assistants through the official Apify MCP server. Add this server URL to any MCP client (Claude Desktop, Claude Code, Cursor, ChatGPT connectors, VS Code):

https://mcp.apify.com/?actors=transparent_meteorite/sec-form-d-funding-leads

Claude Desktop / Cursor config:

{
"mcpServers": {
"apify": {
"url": "https://mcp.apify.com/?actors=transparent_meteorite/sec-form-d-funding-leads",
"headers": { "Authorization": "Bearer <YOUR_APIFY_TOKEN>" }
}
}
}

Then ask in plain language, for example: "How do I get a list of companies that just raised money?"

Call it directly over HTTP (runs the actor and returns the dataset items in one request):

curl -X POST "https://api.apify.com/v2/acts/transparent_meteorite~sec-form-d-funding-leads/run-sync-get-dataset-items?token=$APIFY_TOKEN" \
-H "Content-Type: application/json" \
-d '{"lookbackDays": 3, "excludePooledFunds": true, "maxResults": 50, "onlyNewSinceLastRun": false}'

Python:

from apify_client import ApifyClient
client = ApifyClient("<YOUR_APIFY_TOKEN>")
run = client.actor("transparent_meteorite/sec-form-d-funding-leads").call(run_input={"lookbackDays": 3, "excludePooledFunds": true, "maxResults": 50, "onlyNewSinceLastRun": false})
for item in client.dataset(run["defaultDatasetId"]).iterate_items():
print(item)

The same actor works in n8n, Make, Zapier, LangChain, LlamaIndex and CrewAI through their Apify integrations.

Questions people ask

How do I get a list of companies that just raised money? Run this actor with lookbackDays 3 and excludePooledFunds true; each row is a company that filed a Form D in that window.

Is Form D data an official source? Yes, it comes from SEC EDGAR filings.

Can I filter by industry or amount? Yes, use industryGroups, states, minAmountSold and minOfferingAmount.

Use cases

  • VC, growth equity and banking: spot companies that just closed a round you were not tracking.
  • Fintech, payroll, insurance, legal and accounting sales: a company that just raised money is about to hire, buy tools and open accounts. Use "recently funded" as a trigger.
  • SaaS and agency prospecting: filter by industry, state and amount sold to build a list of freshly funded buyers.
  • Recruiters: funded companies hire; sort by amount sold and number of investors.
  • Market research: count private raises by industry and state over time.

FAQ

Is this legal and allowed? Yes. It reads the SEC's public EDGAR daily index and filing documents, which the SEC publishes for anyone. No login or paywall is involved. The actor identifies itself with a descriptive User-Agent and stays under 5 requests per second, as SEC fair-access rules require.

How do I find recently funded startups from SEC filings? Run this actor with excludePooledFunds on (default) so only operating companies remain, then filter by industry, state and minAmountSold. Each row is a company that reported a private placement.

What is the difference between Form D and a press release about a funding round? Form D is a legal notice of a securities offering, filed after the first sale. It shows the offering size and amount sold, but it does not name investors and may not match announced round sizes. See limitations below.

Can I get emails for the people listed? No. Form D lists officers, directors and promoters by name and role only. Related persons' addresses are not included in the output. The business phone is the company's.

How fresh is the data? Filings appear in the EDGAR daily index the business day after they are accepted. Run it daily with onlyNewSinceLastRun to get each filing once.

Why are some amounts empty? Issuers may declare an offering "Indefinite" or leave a field blank. The actor returns null rather than guessing, and offeringIsIndefinite tells you which case it was.

How does dedupe work across runs? Delivered accession numbers are stored in a named key-value store (sec-form-d-funding-leads-seen) that persists between runs. Change stateStoreName to keep separate feeds, or turn onlyNewSinceLastRun off to get everything again.

Limitations

  • A Form D is a notice of a raise, not a press release. Amounts are what the issuer reported; the round may be larger, smaller or still open.
  • Investors are not named, only counted.
  • No email addresses and no related-person home addresses.
  • The daily index lists filings alphabetically. With a small maxResults and a wide lookbackDays you get the first matching filings in that order, not the largest. Use minAmountSold or minOfferingAmount to focus.
  • "Lookback" counts business days (Monday to Friday). Holidays and a not-yet-published current day are skipped automatically.
  • Scanning a wide window with narrow filters fetches every filing in it (about 4 per second), so such runs take longer.
  • Only Form D and D/A are covered (not Regulation A, Form 1-K or other exempt-offering forms).

Changelog

  • 2026-10-07: added plain-language summary, key facts, AI-agent (MCP) section and question-style FAQ; refreshed Store SEO metadata.
